Terms and Conditions & Privacy Policy

1. Excessive Usage Policy
"Impressions" or "page views" directly relate to the amount of times the webhelp JavaScript is loaded onto your website. The JavaScript is loaded each time the online/offline status button appears, or when the webhelp JavaScript logs data that you can view in the reports section of the software. Remember that wherever the JavaScript code appears and loads on the site, this is classed as 1 impression/page view, regardless of whether this is a returning visitor or not. Impressions/page views can be seen in your general summary through the software. Currently anything over 500,000 impressions or page views per month is considered excessive. If you reach this limit, we will contact you regarding additional costs that may be incurred or tips on how to reduce the number of these impressions.

2. webhelp Code Usage
The code supplied to paste into your website needs to remain exactly as it was provided. The chat panel must also contain the words "Powered by webhelp" and must link through to our website. If you wish to have webhelp references removed or use your own, you will need the custom branded webhelp service.

3. Historical Data.
Data on the webhelp system (such as chats and previous visits) are stored for a maximum of 180 days, after which they are deleted automatically by the system.

4. Software Download & Installation
Downloads of our FREE webhelp software are at your own risk.

5. Implementing the code into your website.
The code may only be used on the site it was intended for when signing up. The website’s domain name appears multiple times in the code, which we can change.  However, we will need to be notified by email for this request, from the person who signed up for the site originally.

6. Cancellations
You can cancel your subscription at any time but we do not refund partly used periods.

7. Termination
webhelp retains the right to terminate any customers service at any time. Refunds will be given on any remaining pre-paid period.

9. SPAM
webhelp has a zero tolerance policy regarding spam. Any webhelp account that we receive a spam report for, or who sends spam with any links to any of our servers will be terminated immediately & without notice.

9. Disclaimer
webhelp does not make any warranty, express or implied with respect to the webhelp software, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

In no event shall webhelp be liable for any indirect, special, incidental or consequential damages (including loss of profits), whether based on contract, tort, or other legal theory, even if webhelp was advised of the possibility of such damages. In the event that any disclaimer or warranty or limitation of liability is found to be unlawful or inapplicable, or to have failed of its essential purpose, webhelp’s liability shall be limited to the unused pre-paid period's rental amount.

Use of the webhelp service indicates your acceptance of these terms.

10. webhelp Service Privacy Policy
Storage of information collected.
webhelp collects information about your website visitors to assist you with your chat sessions and to also build up reporting. Stats and data for reporting purposes are kept for 180 days from the start of your webhelp service and are accessible by yourself though the downloadable software. If you need to log data longer than this set period of time, please get in contact with us, otherwise it will be deleted automatically.

11. webhelp Website Privacy Policy
When you visit this website, data may be collected on the nature of your visit. Typically this would include the site that referred you (if any), your IP address, and your email address. We may use this information to generate user profiles and to plan updates to the site to tailor it more effectively for our visitors.

webhelp does not share data with other companies other than its own associates and under no circumstances does it sell its user information. Any personal information we collect may be used for such purposes as processing transactions, marketing, product/service development or facilitating subsequent use of this site. Unless you unsubscribe from receiving promotional materials, we may occasionally notify you of special promotions, new products or services, or other information that may interest you.

We reserve the right to disclose any such personal information if required to do so by law, or we feel such action is reasonably necessary to comply with legal process, respond to claims, or protect the rights, property or safety of our company, employees, customers, or the public.

webhelp reserves the right to change the terms of its privacy policy at any time. If we do change this privacy policy, we will post the changes on this website. We invite you to review this privacy policy each time you visit our website to make sure you understand our current policy on collecting and using information collected through it.

12. Service Level
webhelp guarantees a 99% up time. We will refund 1 month’s rental fee if this is not met in any one month. We may need to close or restart the Webhelp server from time to time in order to apply application software, GEO-IP, operating system & security updates. These restarts are not included in the up time guarantee. Any updates will be done outside normal business hours when possible.

13. Notice
webhelp reserve the right to alter these terms and conditions with 30 days notice. Notice will have been deemed as being served upon placement on the website and/or an electronic communication advising of same.

14. Governing Law and Jurisdiction
This Agreement shall be governed, construed and shall take affect in accordance with the laws of England and Wales and shall be subject to the exclusive jurisdiction of the English courts.


15. Referrers
Client-specific rebates will be delayed/withheld if a client fails to pay Skycom for their service. Skycom reserves the right to withhold revenue entirely if, in Skycom's view, the revenue generated is likely to have accrued as a result of material harm to the consumer, or as a result of fraud or deception, or a failure on the part of the client to have adhered fully to webhelps terms and conditions. Rebates or payments due can under no circumstances be offset against rebates/payments due by any party.

If you pass on your referral ID to an end user and they forget to enter it upon signing up, then you will not qualify for that referral.

Payment becomes due 45 days in arrears and payment terms are 30 days. You will therefore need to invoice us 45 days in arrears of the account activity and we will make payment within 30 days of receipt.

The minimum amount before you qualify for payments is £20.

We have the right to terminate the referrer service at any moment, but will advise referrers 30 days in advance of this.

16. Entire Agreement
These terms and conditions together with any document expressly referred to in them, contain the entire Agreement between the Company relating to the subject matter covered and supersede any previous agreements, arrangements, undertakings or proposals, written or oral, between the Company in relation to such matters. No oral explanation or oral information given by any party shall alter the interpretation of these terms and conditions. You confirm that, in agreeing to these terms and conditions, you have not relied upon any representation save insofar as the same has expressly in these terms and conditions been made a representation and you agree that you shall have no remedy in respect of any misrepresentation (other than a fraudulent misrepresentation) which has not become a term of this Agreement.
